Build-Operate-Transfer Engineering Teams in India

A Build-Operate-Transfer engineering team in India is built and run by Stalwart Innovations on your behalf, then transferred to your own entity. We handle hiring, infrastructure and delivery during build and operate phases, and at transfer move people, IP and processes to you. It suits companies planning an India engineering centre or GCC.

What we deliver

Team design

Roles, seniority mix, skills and leadership structure planned against your product roadmap.

Hiring

Sourcing and technical screening of embedded, AUTOSAR, VLSI and test engineers in Bengaluru.

Infrastructure

Workspace, IT, secure network access and lab setup appropriate to the work and your security policies.

Delivery and governance

Day-to-day management, delivery reporting and governance reviews while the team operates.

Process alignment

Your development, quality and security processes adopted by the team from the start.

Transfer

Planned transfer of employees, IP, assets and processes to your legal entity in India.

How BOT works

01

Plan

Scope, team shape, location, security model and transfer conditions are agreed up front. Decision point: go-ahead and contract.

02

Build

We hire engineers and leads, set up infrastructure and onboard the team to your tools and processes. Decision point: core team in place.

03

Operate

The team delivers under our employment and management with joint governance. Decision point: readiness review for transfer.

04

Prepare transfer

You set up or confirm your Indian entity; employment, asset and IP transfer are planned. Decision point: transfer date confirmed.

05

Transfer

Employees move to your entity, assets and contracts are assigned, and we provide agreed transition support.

When BOT fits

BOT suits companies that want a long-term engineering team in India but do not want to set up an entity, recruit and manage from day one. You get delivery while the team forms, and ownership once it is stable.

If you need a team only for a defined project or a limited period, project delivery or staff augmentation is usually simpler. The BOT glossary entry explains the model in general terms.

Frequently asked questions

Do we need a legal entity in India before starting BOT?

No. During build and operate, engineers are employed by Stalwart Innovations, so you can start without an Indian entity. You will need one, often a private limited company or a branch structure chosen with your legal and tax advisers, before transfer, because employees and assets move to it.

How do transfer fees work in a BOT model?

BOT contracts commonly include a transfer fee or a defined commercial mechanism for moving the team, reflecting the recruitment and setup work already done. How it is calculated, and how it changes with timing or team size, is agreed in the contract at the start, so the cost of transfer is known in advance.

Who owns the IP created by the team?

IP created for you is assigned to you under the contract throughout the engagement, not only at transfer. Code and documents normally live in your repositories from day one, so there is no separate IP handover of the work itself; transfer focuses on people, assets and processes.

How are employees transferred to our entity?

At transfer, engineers receive offers from your entity, generally on terms at least comparable to their existing ones, and move with recognition of service as agreed. Communication with the team starts well before the date. The approach follows Indian employment law and is planned with your HR and legal advisers.

Can we transfer part of the team or bring the transfer forward?

Contracts can provide for partial or phased transfer, or earlier transfer, with the commercial impact defined in advance. Transferring in phases, such as leads first, is sometimes used to keep delivery stable.

What disciplines can a BOT team cover?

Teams can cover embedded firmware, AUTOSAR and automotive software, VLSI roles such as verification, DFT and validation, and testing and validation. Mixed teams are common, such as firmware plus test automation engineers working on the same product line.
